Membership Agreement

This Member Agreement (Agreement) serves to define the mutually agreed upon Code of Conduct, and terms and conditions (Terms) set forth between Onward Search LLC, dba Onward Imagine (Onward Imagine) and the registered participant of Onward Imagine’s Strategic Leadership Foundations Program (Member), in relation to services, events, content, communications and all other activities occurring as a result of the relationship between the Member, Onward Imagine, and participation in the overall Strategic Leadership Foundations program (Program).

By registering via this form and paying Onward Imagine the specified fee amount for the Program, Member agrees with and consents to abiding by the following Code of Conduct and Terms and Conditions.

Code of Conduct

Member agrees to a Code of Conduct through both digital and live involvement with Onward Imagine, the Program and its Members, in alignment with the following guidelines:

Be supportive. Encourage and support your fellow Members.

Act professionally. This is a Program for individuals who are seeking to grow as professionals.

Serve one another. Your stories and experiences may be exactly what other members need to hear today to solve a problem or just feel validated.

Listen well. The value of the Program is rooted in our collective commitment to being authentic with one another, and a huge driver of this lies in our willingness to focus on actively listening to each other. Great peer mentors listen before speaking.

Be Lawful. As a Member, your contributions to the Program must in their entirety comply with all applicable federal, state, local, and international laws and regulations.

Commit to Diversity, Equity, and Inclusion. Onward Imagine is committed to fostering, cultivating, and preserving a culture of diversity, equity and inclusion. We know that the diversity of our team is vital to our success. As a nationwide organization, we value and leverage our team’s unique backgrounds and experiences to serve the varying needs of our clients. Our collective minds will drive the disruption and innovation that will advance our collective employers and industries.

Harassment Policy

No Harassment. Onward Imagine is committed to maintaining a workplace free from harassment. Sexual and other unlawful harassment is a form of workplace discrimination, as well as a violation of Title VII of the Civil Rights Act of 1964 (Title VII), as amended, and it violates many other state and local anti-discrimination laws. Harassment based on a characteristic protected by law, such as race, color, ancestry, national origin, gender, sex, sexual orientation, gender identity, gender expression, status as transgender, marital status, religion, age, disability, veteran status, or other characteristic protected by local, state, or federal law, is prohibited. This policy applies to all Members, Onward Imagine employees, applicants for employment, interns, whether paid or unpaid, contractors and persons conducting business, regardless of immigration status, with Onward.

Violation of Code of Conduct. If any Member violates the Code of Conduct, Onward Imagine management or others acting at their direction may take any action they deem appropriate, up to and including ejecting someone from the Program at-large. No Program fees or other fees or charges paid previously to Onward Imagine would be refunded in any such event.

Reporting Code of Conduct Violations. If you, as a Member, witness a dangerous situation, someone in distress, or someone engaging in demeaning, discriminatory or harassing behavior towards another Member or other individual, or any other instance of a person who is involved with the Program acting in violation of this Code of Conduct, please report the circumstance immediately to hr@onwardsearch.com.

Terms and Conditions

Confidentiality and Non-Disclosure. The Program and all Program-related meetings and communications are intended to be kept private and confidential between Onward Imagine and the Members. Any information you learn about or that is shared by another Member must be kept private and confidential unless the Member confirms in writing that such information concerns expressly permits wider disclosure. Additionally, all information shared on a one-on-one basis between two Members or between Members and Onward Imagine is not meant to be shared with anyone outside of the two parties, unless either Member expressly permits wider disclosure.

Despite Onward Imagine’s best efforts to ensure confidentiality and security, no Member-based Program can be guaranteed to be 100% secure 100% of the time. As a Member of the Program, please use caution with all of your disclosures of information.

This Agreement may not be binding on third parties or in a court of law. Members could be compelled to testify on matters discussed as part of the Program, and Onward Imagine may be required to disclose information or materials pursuant to applicable laws, regulations, orders, subpoenas or other processes of law. Therefore, Members should generally exercise caution when discussing anything that a Member would not want disclosed in any legal proceeding. Furthermore, members of publicly traded companies should seek the advice of their corporate counsel regarding disclosure of any material, non-public information in light of applicable securities laws and regulations.

Member acknowledges that Onward Imagine cannot control, monitor or be responsible for the conduct of other Members, and that disputes or claims arising out of violations of this Code of Conduct shall remain between the disputing parties without liability to Onward Imagine.

Privacy. Onward Imagine respects individual privacy rights and ensures its compliance with industry standards to protect individuals’ private data. Onward Imagine will comply with all laws that protect the privacy of such information. We must each ensure that the privacy of data to which we are exposed in the course of fulfilling our responsibilities is protected from improper disclosure. Such information will only be collected for legitimate business purposes and will be shared only with other individuals who have a lawful and legitimate need to know the information.

Substitution or Sharing Not Allowed. Member attendance at Program meetings cannot be substituted by another person, whether from the same organization or not.

Program Fee Refunds. Generally, Onward Imagine’s Program fees are non-refundable. However, if a Member’s cancellation is communicated to Onward Imagine four (4) weeks or more prior to the start of the Program for which Member was originally registered, a 100% refund will be granted. Additionally, a Member may opt to credit 100% of the paid Program fee towards participation in a separate Onward Imagine Program to be held in the future and/or at different dates. Members will not be granted a refund of Program Fees if Member unexpectedly needs to miss previously scheduled meetings between Members and Onward Imagine as part of the Program. Onward Imagine’s refund policies are subject to change, and any changes to this policy will be communicated to actively registered Members.

Indemnification. You, as a Member, agree that you will indemnify and hold Onward Imagine, its affiliates, licensees, licensors, content providers, service providers, employees, agents, officers, directors, and contractors (the “Indemnified Parties“) harmless for any losses, claims, judgments, expenses, damages, or costs, including reasonable legal fees, resulting from any breach of this Agreement by you or other Members. You agree that the Indemnified Parties will have no liability in connection with any such breach. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your involvement with Onward Imagine.
